Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding legal agreement between you and ChartNox, trading as ChartNox, the operator of www.chartnox.com ("ChartNox," "we," "us," or "our"), governing your access to and use of the ChartNox website, applications, and related services (the "Service"). By creating an account, signing in (including via Google or other providers), starting a trial, subscribing, clicking "accept," or using the Service in any way, you agree to these Terms, our Privacy Policy (including cookies and data processing), and our Refund and Cancellation Policy. If you do not agree, you must not use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Product, Features, and Pricing

ChartNox is educational SaaS software for learning how to read trading charts. Customers upload chart screenshots and receive AI-generated educational explanations of chart structure (trends, levels, and common pattern shapes), plus an educational AI tutor, pattern library, live chart viewing tools, and market news for study context. ChartNox does not provide financial, investment, or trading advice; does not issue trading signals or strategies; and does not execute trades.

Current plan overview (prices in USD, excluding applicable taxes; may vary by location at checkout):

  • Free — $0: 1 chart analysis per day, 4 open patterns, limited news/history, Live Charts viewing (no ChartNox AI).
  • Basic — $9/month or $86/year: 3 analyses per day, 20 ChartNox AI messages per month, expanded patterns/news/history, 3-day free trial.
  • Pro — $29/month or $278/year: 10 deep chart reads every day (~300/month), each with the advanced lens; 40 ChartNox AI messages per day with analysis history in chat; Analyze-from-Live-Charts, full library, 3-day free trial.

Feature limits, prices, and deliverables may change with reasonable notice where required. Paid plans are sold as recurring software subscriptions (monthly or yearly). Current prices are always shown on our pricing page.

3. Service Territory and Restrictions

We may limit, suspend, or restrict access to the Service in any country or region for legal, regulatory, security, sanctions, or operational reasons. Availability is not guaranteed in any location and may change without notice.

You must not circumvent geographic or access controls (including via VPNs, proxies, false location data, or account misrepresentation). Violations may result in immediate suspension or termination without refund, where permitted by law.

You are solely responsible for ensuring your use of the Service complies with all laws, regulations, export controls, and sanctions applicable in your jurisdiction.

4. Description of the Service

ChartNox provides educational AI tools for chart analysis, pattern learning, market context, and related features, which may include:

  • AI-generated structural readouts from uploaded chart screenshots;
  • ChartNox AI tutor chat;
  • Pattern library and educational content;
  • Live charts, news, history, journal, and other tools;
  • Free and paid subscription tiers with different feature limits.

Features may change, be added, or be removed at any time. We do not guarantee uninterrupted availability, accuracy, or fitness for any particular purpose.

5. Educational Use Only — Not Financial Advice

THE SERVICE IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. NOTHING ON THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, TRADING, TAX, LEGAL, OR OTHER PROFESSIONAL ADVICE.

ChartNox is educational software for learning chart structure. It does not provide financial, investment, or trading advice, and it does not issue buy/sell recommendations or trading signals.

AI outputs, pattern descriptions, news summaries, price data, alerts, and readouts are general in nature, may be incomplete or incorrect, and are not tailored to your financial situation, objectives, or risk tolerance. You must not treat any output as a recommendation, signal, or guarantee of profit or loss avoidance.

Trading and investing involve substantial risk, including the risk of losing some or all of your capital. Markets can move rapidly and unpredictably. Past performance does not predict future results. You should consult qualified, licensed professionals before making financial decisions.

6. AI Limitations and Assumption of Risk

You acknowledge and agree that:

  • AI systems can hallucinate, misread charts, omit context, or produce outdated or misleading information;
  • Automated analysis may fail on low-quality images, unusual instruments, or non-standard chart formats;
  • Delays, rate limits, and outages may affect responses;
  • No human reviews AI output before it reaches you unless you request support;
  • You use all AI features at your own risk and are solely responsible for verifying information independently.

7. Accounts and Security

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately of unauthorized access at [email protected].

We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for extended periods, subject to applicable law.

8. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful purposes;
  • Abuse rate limits, scrape, crawl, reverse engineer, or attempt to extract models or source code;
  • Share, resell, or sublicense paid access without authorization;
  • Upload malware, illegal content, or material you lack rights to use;
  • Impersonate others or misrepresent affiliation with ChartNox;
  • Use outputs as guaranteed trade signals or market manipulation tools;
  • Interfere with Service integrity, security, or other users' experience.

We may investigate violations and cooperate with law enforcement where appropriate.

9. Subscriptions, Billing, Trials, and Refunds

Paid plans are billed through Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. The Paddle entity shown at checkout is the seller of record for that purchase. Paddle's buyer terms also apply to your purchase — see Paddle Buyer Terms and Paddle Refund Policy.

Paid plans include a 3-day free trial. A payment method is required to start the trial. You will not be charged during the trial if you cancel before it ends. If you do not cancel before the trial ends, your paid subscription starts automatically and you are billed the then-current plan price, plus applicable tax, on a recurring monthly or yearly cycle until you cancel.

Subscriptions renew automatically unless cancelled before the renewal date. Cancel any time from Settings (customer portal), by emailing [email protected], or through Paddle using the links on your receipt. Cancellation stops future charges. You keep access until the end of the period already paid for, except where a refund is issued. Refunds and cancellation are described in our Refund and Cancellation Policy, which includes a 30-day money-back guarantee on the first paid charge (subject to that policy). Nothing in these Terms limits mandatory consumer rights that cannot be waived in your country.

Prices, features, and tiers may change with reasonable notice where required. Taxes may apply based on your location.

10. Intellectual Property

The Service, including software, design, branding, text, graphics, and compiled content (excluding your uploads), is owned by ChartNox or its licensors and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

11. User Content

You retain ownership of content you upload ("User Content"). You grant ChartNox a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display User Content solely to operate, improve, and secure the Service (including AI analysis and caching). This license ends when User Content is deleted from our systems, except for backups and records we must retain by law.

You represent that you have all rights necessary to upload User Content and that it does not violate any law or third-party rights.

12. Third-Party Services

The Service integrates third-party products and services (including OpenAI, TradingView, market data APIs, Paddle, Google authentication, and hosting providers). Your use of those features may be subject to separate third-party terms.

We are not responsible for any act, omission, error, outage, policy change, data inaccuracy, security incident, payment dispute, or loss arising from third-party services, except where liability cannot be excluded by law. Billing and refund disputes for Paddle purchases should be raised with Paddle and/or us as described in the Refund Policy.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any analysis, data, or result will meet your expectations or trading objectives.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHARTNOX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, OR GOODWILL; TRADING OR INVESTMENT LOSSES; BUSINESS INTERRUPTION; OR ANY OTHER DAMAGES OR LOSSES ARISING FROM OR RELATED TO THE SERVICE, THIRD-PARTY SERVICES, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, ChartNox is not liable for any harm, loss, or adverse outcome resulting from your reliance on AI outputs, market data, news, patterns, or any other Service content—including severe financial loss or other serious consequences from trading or investment decisions you make.

Our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amounts you paid for the Service (via Paddle or otherwise) in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), except where such limitation is prohibited by law.

Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless ChartNox, ChartNox, and their affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; (d) your trading, investment, or financial decisions; or (e) any dispute between you and a third party. We may assume exclusive defense of any matter subject to indemnification, at your expense.

16. Release

To the extent permitted by law, you release ChartNox from all claims, demands, and damages of every kind, known or unknown, arising out of or connected with your use of the Service, including claims related to trading outcomes, AI errors, data delays, or third-party services.

17. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, with or without notice, for any violation of these Terms, legal requirement, or risk to the Service or others. Upon termination, your license ends and you must cease use. Sections that by nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. You agree that disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel, except where mandatory consumer protection laws in your country give you the right to bring a claim in, or have the law of, your home country.

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

19. Class Action Waiver

To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

20. Force Majeure

We are not liable for failure or delay due to events beyond our reasonable control, including natural disasters, war, labor disputes, internet or utility failures, government actions, or third-party service outages.

21. General

  • Entire agreement: These Terms, the Privacy Policy, and Refund Policy constitute the entire agreement regarding the Service (together with any Paddle buyer terms that apply to your purchase).
  • Severability: If any provision is unenforceable, the remainder stays in effect.
  • No waiver: Failure to enforce a provision is not a waiver of future enforcement.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale.
  • Changes: We may modify these Terms at any time by posting an updated version. Material changes may be notified by email or in-app notice. Continued use after the effective date constitutes acceptance, except where prohibited by law.
